Job Summary

The Tennessee Naturalist Program is designed to teach adults about the natural history of Tennessee through professional instruction and to encourage participants to volunteer for environmental agencies. Upon completion of the program requirements, participants become certified Tennessee naturalists.

The Tennessee Naturalist Program is a nonprofit 501(c)(3) with an all-volunteer board of directors. We are seeking new volunteer board members for a two-year term beginning in March 2025. The duties and commitments of all board members include:  

  • Attending quarterly Zoom meetings for important discussions and decisions regarding the program’s operation and mission. 
  • Serving on ad hoc committees as needed.
  • Completing additional tasks for the program as needed.

In addition to having a passion for natural history education, conservation, and stewardship, we are seeking a new board member with experience and expertise in Nonprofit Law.

Job Responsibilities

  • Compliance Oversight: Ensure that the organization complies with federal, state, and local nonprofit laws and regulations. 
  • Legal Guidance: Provide advice on governance issues, including board responsibilities, bylaws, and policies. Assist in reviewing and updating these as needed. 
  • Contract Review: Review any contracts or agreements the organization enters, such as partnership agreements, vendor contracts, and volunteer liability waivers. 
  • Risk Management: Identify potential legal risks and provide guidance on liability issues, such as events, intellectual property, and data privacy. 
  • Policy Development: Collaborate with other board members to create or update policies that maintain legal compliance while safeguarding the organization’s mission.
  • Board Education: Advise the board on any potential legal issues, governance best practices, and any new or relevant changes in nonprofit law.

Qualifications

  • JD degree or relevant legal experience in nonprofit, tax-exempt, or corporate law. 
  • Experience advising or working with nonprofit boards. 
  • Knowledge of 501(c)(3) compliance requirements and nonprofit governance.
